Terms & Conditions – All the Power Ltd

1. Introduction

These Terms and Conditions ("Agreement") govern the provision of business coaching, operational consulting, AI enablement, and wellness services (“Services”) by All the Power Ltd, a company registered in England & Wales under Global Wealth Unlimited ("We", "Us", "Our"), to the Client ("You", "Your").

2. Definitions

• “Proposal”: The document outlining agreed scope, pricing, and delivery schedule.

• “Deliverables”: Any custom documents, SOPs, AI tools, or workflows created specifically for the Client.

• “Confidential Information”: All business, financial, or operational data shared during this engagement.

3. Scope of Work

The scope, pricing, and delivery of Services are outlined in the accompanying Proposal and form part of this Agreement. In case of conflict, this document takes precedence for legal clarity.

4. Term and Termination

This Agreement commences on the date of signature and continues for the duration stated in the Proposal unless terminated earlier.

• You may cancel at any time with written notice. If concerns are raised, we will meet to resolve them. If resolution is not possible, you are entitled to a refund for the current month.

• We may suspend services for non-payment or breach of terms, with notice.

5. Payment Terms

• All fees are payable upfront unless a specific alternative agreement is made in writing. Payment terms follow the schedule set out in the Proposal (monthly or full upfront).

• Late payments may incur a reasonable admin fee and possible suspension of service until resolved.

6. Intellectual Property & Deliverables

• You retain full ownership of all bespoke deliverables created during our work together (e.g., SOPs, documents, AI workflows).

• We retain rights to our underlying frameworks and tools not specific to your business.

7. Confidentiality

• Both parties agree to maintain strict confidentiality regarding proprietary business information, documents, and discussions.

8. Data Protection & Privacy

• We comply with UK GDPR. Any data shared will be stored securely and only used to deliver the agreed services.

• Use of third-party tools (e.g., AI platforms, CRMs) is subject to their respective privacy terms.

• You acknowledge that the use of any third-party platform—including but not limited to AI tools, CRMs, or productivity software—may involve the transfer and storage of data outside our direct control. We are not responsible for the data security practices of these platforms. You are solely responsible for ensuring that any data you input complies with applicable privacy laws and that you have appropriate consents from any data subjects involved.

• We do not store or process client data through our own servers. All data handling occurs within secure, third-party systems selected for performance, but used at your discretion.

9. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to illness, natural disasters, government restrictions, pandemics, or third-party outages that disrupt essential platforms or services.

10. Dispute Resolution

In case of dispute, both parties agree to first seek resolution through good-faith communication or mediation. If unresolved, disputes will be subject to the jurisdiction of England and Wales.

11. Non-Solicitation

You agree not to solicit or hire All the Power Ltd’s contractors, coaches, or employees during the engagement and for a period of 12 months following its conclusion, unless otherwise agreed in writing.

12. Survivability

Clauses related to confidentiality, intellectual property, limitation of liability, and dispute resolution shall survive the termination of this Agreement.

13. Jurisdiction

This Agreement is governed by the laws of England and Wales. For clients outside the UK, you accept these terms as binding and agree to resolve disputes under UK law.

14. Entire Agreement

This Agreement, together with the signed Proposal, constitutes the entire understanding between both parties and supersedes all prior discussions or agreements.

15. Tools, Platforms & Third Parties

We may recommend specific third-party tools or platforms (e.g., AI applications, business operating systems, or wellness platforms) that are necessary to deliver the Services effectively. You are responsible for licensing or subscribing to these tools unless stated otherwise in the Proposal.

We are happy to work with your preferred tools where feasible, but if doing so requires additional onboarding or technical time, we reserve the right to charge for this at a reasonable rate, to be agreed in writing.

In most cases, the scope of this engagement does not include the delivery or implementation of custom automations or technical builds. Where automation or advanced AI functionality is discussed but not included in the Proposal, we will support you in identifying opportunities, and may assist in sourcing relevant third-party providers. You will be responsible for their fees.

We are not responsible for the performance, terms of service, or data privacy policies of any third-party tools or vendors. You agree to independently review and accept those terms when engaging with third-party platforms.

16. Affiliate Relationships

We may refer tools or platforms via affiliate relationships, through which we may earn a commission. These referrals are made in good faith based on tools we actively use or endorse. You are under no obligation to use any affiliate link and doing so will not affect your service access.

17. Wellness Advisory Disclaimer

As part of our services, we may offer guidance related to wellness practices, including but not limited to breathwork, cold exposure, sleep routines, dietary changes, mindfulness, and other biohacking strategies. These recommendations are not medical advice.

You are solely responsible for consulting a qualified healthcare professional before making any significant health, fitness, or mental wellbeing changes. For example, the Wim Hof Method—which includes breathwork and cold exposure—has known contraindications and should not be practiced by individuals with cardiovascular conditions, high blood pressure, epilepsy, or during pregnancy.

You agree that all participation in wellness practices is entirely voluntary and undertaken at your own risk.

18. AI Usage & Outcomes

AI tools may be used as part of our service delivery for ideation, drafting, and workflow support. While we train clients on safe, effective usage, all decisions and implementation remain the client’s responsibility. We are not liable for the accuracy or consequences of AI-generated outputs.

You are advised not to input personal, sensitive, or confidential client data into AI tools unless you are certain that the platform is compliant with your regulatory requirements (e.g., HIPAA, GDPR). It is your responsibility to assess data risk and legality before using such tools in your business context.

19. No Guaranteed Outcomes

We make every effort to deliver exceptional strategic guidance and support. However, we do not guarantee specific business outcomes, financial results, or performance improvements. Results will vary based on client implementation and external conditions.

Implementation of strategies, documents, and tools remains the responsibility of the Client.

20. Digital Signature Validity

Electronic signatures are valid and binding. Acceptance of these Terms and the associated Proposal via digital signature, checkbox, or e-sign platform constitutes legal agreement in accordance with UK law.
